Terms of Service
These terms govern your use of The Kitchen, the Out Sauce online portal. By using the portal you agree to these terms. If a separate signed service agreement is in place between Out Sauce and your firm, that agreement governs the commercial relationship and prevails over these terms where they conflict.
Accounts and access
- Portal accounts are issued by invitation. You are responsible for keeping your login details secure and for activity that happens under your account.
- Tell us promptly if you believe your account has been accessed without your permission.
- You may only access information you are authorised to see. Each firm's data is separated, and access is scoped to your role.
Acceptable use
When using the portal, you agree not to:
- Use it for any unlawful purpose or in breach of these terms.
- Attempt to access data, accounts or systems you are not authorised to use.
- Upload malicious software, or content you do not have the right to share.
- Interfere with, probe or disrupt the service or its security controls.
Your content
You keep ownership of the documents, messages and other content you put into the portal. You grant us the access we need to host, process and deliver the paraplanning service, and to provide support. We also use the work content to develop our internal knowledge base, which learns two kinds of things: de-identified and aggregated intelligence (patterns and methods that hold across many engagements, from which no person, client or firm can be identified), and our own working knowledge of how each firm and its advisers prefer their work prepared (Out Sauce know-how), which we use to make the service you receive better over time. Out Sauce know-how never includes your clients' personal details and never includes copies of your documents. We never sell any of this or turn it into a separate product. We handle personal information in that content in line with our Privacy Policy.
Confidentiality
Information exchanged through the portal, including client financial details and advice documents, is confidential. You agree to treat it as confidential and to use it only for the purpose of the work it relates to. Out Sauce treats this information as confidential and uses it to deliver the work, to run and improve its own operations, and to develop the de-identified and aggregated intelligence and Out Sauce know-how described in "Your content" above. De-identified and aggregated intelligence and Out Sauce know-how are not confidential information for this purpose. Where a signed service agreement is in place, that agreement governs the use of this information and prevails over this section where they conflict.
Availability
We aim to keep the portal available and reliable, but we do not guarantee it will be uninterrupted or error-free. We may carry out maintenance, updates and changes, and may suspend access where needed to protect the service or its users.
Liability
To the extent permitted by law, the portal is provided "as is". Nothing in these terms excludes rights or guarantees you have under the Australian Consumer Law or other laws that cannot be excluded. Where our liability can be limited, it is limited to resupplying the service or the cost of doing so.
Suspension and termination
We may suspend or end access to the portal if these terms or a service agreement are breached, or if we reasonably need to protect the service or other users. On termination, we handle any remaining personal information in line with our Privacy Policy and our legal record-keeping obligations.
Governing law
These terms are governed by the laws of Queensland, Australia, and the courts of that state have jurisdiction.

Changes
We may update these terms from time to time. The effective date and version at the top of this page show when they last changed. Continued use of the portal after a change means you accept the updated terms.
